TERMS OF PAYMENT
1. A deposit of 10 % of the contract price ( the ‘deposit’ ) is payable by the client upon acceptance of the works, a deposit is only required to those who's contract is to the value of £20,000 or over.
2. For commercial works - invoice is due for payment on completion.
3. Invoices submitted by the contractor to the client are due upon completion of the roofing works via bank transfer.
4. In the event that the works are terminated by the client prior to completion of the services but where the services have been partially performed, ( ie - scaffolding erected, materials ordered, administration and surveys carried out ) the contractor will be entitled to pro rata payment of the payment to the date of termination provided that there has been no beach of contract on the part of the contractor.
5. The contractor will be responsible for all income tax liabilities and national insurance or similar contributions relating to the payment and the contractor will indemnify the client in respect of any such payment required to be made by the client.
6. The contractor will be solely responsible for the payment of all remuneration and benefits due to the employees of the contractor, including any national insurance, income tax and any other form of taxation or social security costs.
The client is of the opinion that the contractor has the necessary qualification, experience and ability to provide services to the client.
The contractor is agreeable to providing such service to the client on the terms and conditions set out.
IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in the terms and conditions, the receipt and sufficiency of which consideration is hereby acknowledged, the client and the contractor agree as follows :
SERVICES PROVIDED
7- The client agrees to engage the contractor to provide the client with the following services: Roofing services
8. The services will also include any other tasks which the parties may agree on. The contractor hereby agrees to provide such service to the client.
TERMS OF AGREEMENT
10 - if we are to provide scaffolding services this is an additional service for the convenience of the customer, payment will be due upon completion of our roofing works - not on removal of the scaffolding.
PERFORMANCE
11. The parties agree to do everything necessary to ensure that the works take effect efficiently.
A - except as otherwise provided in the terms and conditions, all monetary amounts referred to in the terms and conditions are in GBP.
REIMBURSEMENT OF EXPENSES
12. The contractor will be reimbursed from time to time for reasonable and necessary expenses incurred by the client in connection with providing the services.
13. All expenses must be pre approved by the client.
13a - the contractor will not be held liable for any internal damages during the duration of ‘the works’ This includes - water ingress, damage to plaster, damage to paintwork.
PENALTIES FOR LATE PAYMENTS
14. Any late payments will trigger a fee.
14a - 1 day late £100 fee
- 7 days late £700 fee
- 14 days £1400 fee
CONFIDENTIALLY
15. Confidential information refers to any data or information relating to the business of the client which would reasonably be considered to be the proprietary to the client, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the client and where the release of that confidential information could reasonably be expected to cause harm to the client.
16. The contractor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential information which the contractor has obtained, except as authorised by the client or as requested by law. The obligations of confidentiality will apply during the term and will survive indefinitely upon termination of this agreement.
OWNERSHIP OF INTELLECTUAL PROPERTY
17. All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trade mark, trade dress, industrial design and trade name that is developed or produced under these terms and conditions will be the sole property of the client. The use of the intellectual property by the client will not be restricted in any manner.
CAPACITY / INDEPENDANT CONTRACTOR
18. In providing the services under the terms and conditions it is expressly agreed that the contractor is acting as an independent contractor and not as an employee. The contractor and the clients acknowledge that this does not create a partnership or joint venture between them, and is exclusively a contract for service.
NOTICE
19. All notice requests, demands or other communications requires or permitted by the terms and conditions will be given in writing.
PENALTIES / CANCELLATION
A - The client can herby cancel the services with no penalties within 14 days of in writing prior to starting to works.
B - If under the circumstances after 14 days that the contractor has not erected the scaffolding, paid any permits including skip hire there would be a fee of 20% of the contract price payable by the client.
C - If under the circumstances after 14 days that the contractor has erected the scaffolding, paid any permits including skip hire and materials there would be a fee of 30% of the contact price payable by the client.
D - If under the circumstance that the contractor has erected the scaffolding, paid any permits including skip hire, materials and is within 48 hours of the agreed installation date there would be a fee of 40% of the contact price payable by the client.
MODIFICATION
20. Any amendment or modification or additional obligation agreed by both partys in connection with the works will be invoiced the client separately upon completion of that particular works.
TIME OF THE ESSENCE
21. Time is of the essence. No extension or variation will operate as a waiver of this provision.
ASSIGNMENT
22. The contractor will not voluntarily, or by the operation of law, assign or otherwise transfer its obligations under the terms and conditions without the prior consent of the client.
ENUEMENT
23. The terms and conditions will enure to the benefit of the parties and their respective heirs, executers, administrators and permitted successors and assigns.
GOVERNING LAW
24. These terms and conditions will be governed and constructed in accordance with the laws of England.
KIND REGARDS
Jacob James Roofing
